These Terms & Conditions (the "Terms") govern your access to and use of Once Upon a CRM, LLC and the website at https://onceuponacrm.net, including any content, pages, products, and services provided through it (collectively, the "Site"). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you disagree, do not use the Site.

1. Who We Are

2. Eligibility & Accounts

  • You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Site.
  • To use certain features, you may create an account and provide accurate, current information. You are responsible for safeguarding your credentials and for all activity under your account.
  • We may, in our sole discretion, suspend or terminate accounts for violations of these Terms.

3. Services; No Professional Advice

The Site may describe or provide access to CRM, RevOps, consulting, design, or related services (the "Services"). Any materials or guidance provided on the Site are for informational purposes only and do not constitute legal, tax, accounting, or other professional advice. You should consult appropriate professionals for advice specific to your situation.

4. Acceptable Use

You agree not to:

  • Violate any law, regulation, or third-party right.
  • Upload or transmit viruses, malware, or harmful code.
  • Attempt to gain unauthorized access to the Site, accounts, or systems.
  • Engage in scraping, harvesting, or automated data collection except as expressly permitted in writing.
  • Interfere with or disrupt the integrity or performance of the Site.
  • Misrepresent your identity or affiliation, or impersonate others.
  • Use the Site to store or transmit sensitive personal information without our prior written consent.

5. User Content; Feedback

  • User Content. If you upload, submit, or post content ("User Content"), you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display such content as reasonably necessary to operate the Site and provide the Services. You represent that you have all rights necessary to grant this license and that your User Content does not infringe third-party rights.
  • Feedback. If you provide suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free right to use that feedback for any purpose without restriction or compensation.

6. Third-Party Services

The Site may integrate or link with third-party tools and platforms, such as Webflow (hosting/forms), Google Analytics 4, Mailchimp, Salesforce/HubSpot, and others (collectively, "Third-Party Services"). We are not responsible for Third-Party Services and do not control their policies or practices. Your use of any Third-Party Service is subject to its own terms and privacy policy.

7. Payments; Subscriptions; Refunds

If the Site offers paid Services:

  • Fees. Prices will be stated at checkout, in an order form, or in a separate agreement. You authorize us (or our payment processor) to charge your selected payment method.
  • Billing & Auto-Renewal. Certain plans may automatically renew unless canceled before the renewal date. Renewal terms and prices will be disclosed during purchase.
  • Refunds. Refund eligibility, if any, will be described at checkout or in a separate order or master services agreement. Unless stated otherwise, all fees are non-refundable.
  • Taxes. You are responsible for all applicable taxes, duties, and levies.

8. Intellectual Property

The Site, including all content, text, graphics, logos, icons, images, audio/video clips, and the compilation thereof, is owned by us or our licensors and is protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Site or its content without prior written consent.

9. Confidentiality

If we share or you provide non-public information in connection with potential or ongoing projects, each party agrees to use reasonable care to protect the other party’s confidential information and not to disclose it except as necessary to perform under these Terms or as required by law.

10. Privacy

Our collection and use of personal information are described in our Privacy Policy. By using the Site, you consent to our data practices as described there and, where applicable, to receiving communications related to your use of the Site or Services.

11. Availability; Changes; Beta Features

We may modify, suspend, or discontinue any part of the Site at any time without liability. From time to time, we may release features identified as beta, preview, or experimental. Such features may be incomplete, change over time, or be discontinued.

12. Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SITE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID (IF ANY) FOR ACCESSING THE SITE OR SERVICES IN THE 3 MONTHS PRECEDING THE CLAIM, OR $100 IF NO SUCH PAYMENTS WERE MADE.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, the above limitations will apply to the fullest extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site or Services, your User Content, or your violation of these Terms or applicable law.

15. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you violated these Terms. Upon termination, your right to use the Site will cease. Sections that by their nature should survive termination (e.g., IP rights, disclaimers, limitations, indemnification) will survive.

16. Governing Law; Disputes

These Terms are governed by the laws of the State of [California], without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Wake County, North Carolina for any dispute arising from or relating to these Terms or the Site. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

17. International Users

If you access the Site from outside the United States, you are responsible for compliance with local laws. We do not represent that the Site or Services are appropriate or available in all jurisdictions.

18. Electronic Communications; Notices

By using the Site, you consent to receive electronic communications from us. You agree that all notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. Notices to us should be sent to hello@onceuponacrm.org.

19. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date indicates when changes were made. Changes are effective when posted to the Site. Your continued use of the Site after changes become effective constitutes acceptance of the updated Terms.

20. Miscellaneous

  • Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the Site and Services.
  • Severability. If any provision is determined to be unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver. Our failure to enforce any right or provision is not a waiver of such right or provision.
  • Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction, including in connection with a merger, acquisition, or sale of assets.
